Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern access to and use of the IRLOGISTIC platform, including our website, freight quote engine, and related B2B services (the "Service"), operated by [Company Legal Name] ("IRLOGISTIC," "we," "us"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Business-to-Business Service

IRLOGISTIC is designed for use by businesses, freight forwarders, shippers, carriers, and logistics professionals acting in a commercial capacity. It is not intended for personal or household use. By using the Service, you represent that you are acting on behalf of, and have authority to bind, the company or entity you represent.

3. Description of Service

IRLOGISTIC provides tools to estimate freight costs across multimodal transport options (road, sea, air, and rail), including routing, distance, and pricing calculations, HS code lookup and conversion tools, and related B2B features connecting shippers with carriers and logistics partners.

Quotes are estimates. Prices, transit times, and routing shown on the platform are generated using automated calculations (including third-party and open-source routing, geocoding, and mapping data) and are provided for planning purposes only. Actual pricing, availability, customs duties, dwell times, and transit times are subject to confirmation by the relevant carrier, customs authority, or logistics partner and may differ from platform estimates.

4. Account Registration

To access certain features, you must register an account and provide accurate, current information about yourself and your company. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose, including violations of trade, customs, or export-control laws
  • Misrepresent cargo contents, weight, HS classification, or other shipment details
  • Attempt to reverse-engineer, scrape, or extract underlying routing, pricing, or geospatial data without authorization
  • Interfere with the security or normal operation of the platform
  • Use the Service to facilitate shipments of prohibited, sanctioned, or dual-use goods without appropriate authorization

6. Trade Compliance and Sanctions

You are solely responsible for ensuring that your use of the Service, and any shipments arranged through it, comply with all applicable trade control, customs, export/import, and sanctions laws in the countries of origin, transit, and destination. IRLOGISTIC does not guarantee that any route, carrier, or transaction facilitated through the platform complies with sanctions regimes applicable to your specific circumstances, and you must independently verify compliance before proceeding with any shipment. IRLOGISTIC reserves the right to suspend or refuse service where we reasonably believe a transaction may violate applicable law.

7. Fees and Payment

Where the Service includes paid features, fees will be disclosed prior to purchase. Unless otherwise stated, fees are quoted exclusive of applicable taxes, duties, and bank charges. Payment terms, invoicing cycles, and currency will be specified in your applicable order form or account settings.

8. Intellectual Property

The Service, including its software, design, routing logic, seed data, and underlying technology, is owned by IRLOGISTIC or its licensors and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes. You may not copy, modify, distribute, or create derivative works from the platform without our written consent.

9. Third-Party Services and Data

The Service may incorporate third-party data and open-source components (including routing, mapping, and geocoding tools). We do not warrant the accuracy, completeness, or availability of third-party data, and your use of such components may be subject to their own license terms.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including but not limited to accuracy, merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that quotes, routes, or transit estimates will be error-free or uninterrupted.

11. Limitation of Liability

To the maximum extent permitted by applicable law, IRLOGISTIC and its affiliates shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption, arising out of or related to your use of the Service, including reliance on any quote, route, or estimate. Our aggregate liability for any claim arising from these Terms or the Service shall not exceed the fees paid by you to IRLOGISTIC in the [12] months preceding the claim, or [amount/currency] if no fees were paid.

12. Indemnification

You agree to indemnify and hold IRLOGISTIC harmless from claims, damages, and expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the Service, misrepresentation of shipment data, or violation of applicable law, including trade and sanctions regulations.

13. Termination

We may suspend or terminate your access to the Service at any time for breach of these Terms, suspected illegal activity, or as required by law. You may terminate your account at any time by contacting us. Provisions that by their nature should survive termination (including Sections 6, 8, 10, 11, and 12) will survive.

14. Governing Law and Dispute Resolution
